General functions and responsibilities:
- To provide legal consultations to internal structural units of the bank on issues related to daily activities;
- Preparation, review and participation in negotiations of contracts to be concluded with suppliers, service providers, partners and other counterparty;
- Legal support for the implementation and development of bank products and projects;
- Review of internal bank policies, procedures and other documents and evaluation of their compliance with current legislation;
- Preparation of legal conclusions;
- Monitoring of legislative and regulatory changes, proposing relevant changes to bank contracts and internal documents and informing the management;
- Preparation, review and negotiation of corporate banking contracts, including credit agreements, bank guarantees, letters of credit, mortgages, pledges, suretyship agreements;
- Legal due diligence of corporate clients, including study of founding documents, corporate decisions and signature authority;
- Participation in meetings and negotiations with clients;
- Support of the process of restructuring problematic loans and preparation of relevant contract drafts.
Qualification requirements:
Mandatory:
- Higher legal education (master's degree will be considered an advantage);
- At least 3 years of experience in a commercial bank, other financial institution or fintech company;
- Knowledge of banking legislation, the Law of Georgia "On Entrepreneurs" and the Civil Code of Georgia;
- English language proficiency;
Desirable:
- Membership in the Association of Lawyers (passing the bar exam in general or civil / administrative law);
- Knowledge of Russian language.
